Familiarization of Independent Directors 5PAISA CAPITAL LIMITED - FAMILIARIZATION PROGRAMMES FOR INDEPENDENT DIRECTORS (In terms of Regulation 25(7) of the Listing Regulations) Introduction As per SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the Company shall familiarize its independent directors with the working of the Company, their roles, rights and responsibilities vis-à-vis the Company, the industry in which the Company operates business model etc. through various programmes. Overview of the Familiarization process The Independent Directors are issued appointment letter, interalia, setting out the expectation of the Board from the directors, their roles, duties and responsibilities that come with the appointment as a director of the Company. The Company may conduct an introductory familiarization programme when a new Independent Director comes on the Board of the Company. The Board members are provided with necessary documents/brochures, reports and internal policies to enable them to familiarize with the Company’s procedures and practices. Periodic presentations are made at the Board and Board Committee Meetings, on business and operations of the Company as well as the Group. Quarterly updates on relevant statutory changes are discussed at the Board meetings. Independent Directors are provided with the information about the Company, Memorandum and Articles of Association, Annual Reports, recent Media Releases etc. Independent Directors are provided with the necessary documents, reports and internal policies to enable them to familiarize with the nature of the Industry, Business Model, Roles, rights and Responsibilities with respect to the Company. On a quarterly basis, presentations are made at the meeting of Board and Committees, on business, operations and performance updates of the Company and the group, important developments in the group subsidiaries, relevant statutory and regulatory changes applicable to the Company and the group, update on important legal matters pertaining to the Company and the group etc. Each director of the Company has complete access to relevant information relating to the Company and the Group. Independent Directors have the freedom to interact with the Company’s officials. The Directors are given all the documents / information sought by them from time to time for enabling good and complete understanding of the Company, its various operations and the industry segments in which the company operates. During FY 2021-22, the Board cumulatively spent approximately 3:30 hours in 6 familiarization programs in Board and Committee meetings. Cumulatively, the Board has spent approximately 13 hours in 26 familiarization programs since FY 2017-18.
